Report Inappropriate Comments

I have a question. When Mr. Klepper received the requests of resignation from Ms. Mack "over the last few months" which he did not accept, did he share this information with the rest of the board? Once a company is aware that their legal counsel is considering resigning, shouldn't that be addressed right away? Possibly even a vote taken as to whether or not the resignation should be accepted?
